Terms of Service

The short version

• These terms are the agreement between your organisation and RemoteDesk Private Limited for using Efforti.
• Your organisation owns its data. We use it only to run Efforti for you.
• AI in Efforti drafts; people decide. Review scores and summaries before you act on them.
• Use Efforti for genuine work check-ins, with your team's knowledge, and never for anything unlawful.
• If you have signed an agreement or order with us, it takes priority over these terms where the two differ.

1. Who these terms are between

"We", "us" and "our" mean RemoteDesk Private Limited, a company registered in India (CIN U72900PN2020PTC191605), with its registered office at Pride Valencia, Flat No. A-802, Sr. No. 292/6/1, 2, 3, 5, 7, Dhankude Wasti, Pune, Maharashtra 411045, India. Efforti is our product.

"You" and "customer" mean the organisation that creates an Efforti workspace or signs an order with us. "Users" means the people you invite, such as employees and contractors. If you accept these terms for an organisation, you confirm you have the authority to do so.

These terms cover the Efforti app at agents.efforti.com, check-ins delivered through chat tools and WhatsApp, and our website at efforti.ai.

2. Your workspace and users

• Your workspace admins decide who is invited, what roles they have and which agents run.
• Keep sign-in details secure and tell us at hello@efforti.ai if you think someone has accessed your workspace without permission.
• Users must be at least 18 years old.
• You are responsible for what happens in your workspace and for your users following these terms.

3. Using Efforti with your team

• Tell your users that you use Efforti, what it will ask them and who will see their answers and scores. For your users' check-in data you are the Data Fiduciary (or controller) and we are your Data Processor (or processor). You are responsible for having a lawful basis for the check-ins you run, including under India's Digital Personal Data Protection Act, 2023 and, where it applies, the GDPR.
• If you turn on WhatsApp check-ins, you confirm that each person has agreed to receive work messages from Efforti on WhatsApp, and you will follow WhatsApp's business terms and policies.
• Scores and summaries are drafts produced with AI. A person in your organisation must review and approve a score before it is used. Do not make decisions about anyone's employment, pay or discipline based on AI output alone.

4. Acceptable use

You and your users must not:

• break the law or infringe anyone's rights;
• use Efforti to monitor people beyond the check-ins it is designed for, or to harass or discriminate against anyone;
• try to access other customers' data or our systems without permission, or upload malicious code;
• copy, reverse engineer or resell Efforti, except where the law allows it or we agree in writing;
• send spam or unwanted messages through WhatsApp or any other channel;
• overload or disrupt the service.

5. Your data

You own the content you and your users put into Efforti ("Customer Data"). You allow us to host, process and display it only to provide, secure and support Efforti for you, as described in our Privacy Policy. We do not sell Customer Data. You can ask us for a copy of your Customer Data while your subscription is active.

6. AI features

Efforti uses AI models from third-party providers to draft summaries, find blockers and draft scores. AI output can be wrong or incomplete, so review it before relying on it. We do not guarantee any particular result from using Efforti.

7. Trials, pilots and fees

• Free trials and pilots run for the period and on the terms we confirm to you in writing or in the product. We may end a free trial at any time.
• Paid plans and paid pilots are charged as set out in your order or invoice. Unless your order says otherwise, fees are in the currency shown, do not include taxes such as GST, and are due within the period stated on the invoice.
• Refunds apply only where your order says so.
• We may change prices for future periods after telling you. Prices agreed in a signed order stay fixed for that order's term.

8. Third-party services

Efforti works with services such as WhatsApp, Google and other chat tools. Your use of those services is governed by their own terms. We are not responsible for them, and features that depend on them may change if those services change.

9. Availability and changes

We work to keep Efforti available and secure, but unless we agree a service level with you in writing, we do not promise the service will be uninterrupted or error-free. We may improve, change or remove features. If a change materially reduces a paid service, we will tell you and you may end the affected subscription.

10. Confidentiality

Each of us will keep the other's non-public information confidential and use it only for this agreement, unless the law requires disclosure.

11. Our intellectual property

We own Efforti, including its software, design, templates and documentation. During your subscription you may use Efforti for your organisation's internal business purposes. If you send us feedback, we may use it without any obligation to you.

12. Suspension and ending

• You can stop using Efforti at any time. Paid subscriptions end as set out in your order.
• We may suspend access if we need to stop a security threat, unlawful use or a serious breach of these terms. We will tell you why and restore access once the issue is fixed.
• Either of us may end this agreement if the other seriously breaches it and does not fix the breach within 30 days of being told.
• When the agreement ends, access stops and we delete Customer Data as described in our Privacy Policy.

13. Warranties

To the extent the law allows, Efforti is provided "as is" and "as available", without implied warranties such as fitness for a particular purpose.

14. Liability

• Neither of us is liable for indirect or consequential losses, or for loss of profits or revenue.
• Each party's total liability under these terms is limited to the fees you paid us for Efforti in the 12 months before the event that led to the claim.
• These limits do not apply to your obligation to pay fees, or to any liability that the law does not allow to be limited.

15. Governing law

These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising from them.

16. Changes to these terms

We may update these terms, and the date at the top shows the current version. We will tell workspace admins about material changes by email or in the product. If you keep using Efforti after a change takes effect, the updated terms apply.
